Overview

The Customer MSA (Master Services Agreement) is specific to a Customer and uses the default clauses set against the Master Services Agreement Template or can be tailored to the Customer by editing the MSA Agreement clause (if the MSA clause allows) or by adding clauses to the Customer MSA. The Customer MSA record can also be associated

with the Sales Contract.

Application

The Customer MSA is used to define the following:

 
  • Agreement Type
  • Term of the Agreement
  • Which User manages the Agreement
  • Whether active or not
  • Revisions
  • Customer Contact and approval status
  • Internal approval status
  • Customer specific clauses
The system record created is visible to all users and any amendments to the Customer MSA or clauses can be tracked via revisions.

Processing

Upon creation of a new record, the Master Services Agreement template is selected and the header record populated as required. Upon save, Customer MSA Clauses will populate based on the Master Services Agreement template chosen in the header section. The Customer MSA Clauses may be amended dependant on whether the Master Services Agreement clauses allow. New MSA Clauses may also be added in addition to the defaults created by clicking the New Customer MSA Clause button.

Fields

Customer MSA Header

 
Sales Division:  The Sales Division for which this Master Service Agreement applies for the specified Customer.

Customer:  The Customer for which this Customer MSA (Master Services Agreement) applies.

Template MSA:  The Master Service Agreement template used to create this Customer Master Service Agreement.

Template MSA Rev (Automatically set from MSA Agreement template):  The Current Revision level of the Master Service Agreement template used to create this Customer Master Service Agreement.

Customer MSA:  
The Customer Master Service Agreement created from the Master Service Agreement template.


MSA Description:  User-defined alpha-numeric description up to 255 characters in length.

MSA First Effective Date:  When set, this is the date this Customer Master Service Agreement is effective and can be used on a Sales Contract for said Customer.

MSA Last Effective Date:  When set, this is the date this Customer Master Service Agreement is no longer in effect and can no longer be used on a new Sales Contract for the given Customer.

MSA Term:  Optional term for which this MSA is active.  Value can either be Yearly or User Defined.

MSA Responsible User:  User responsible for this Customer Master Service Agreement, which defaults from the Master Service Agreement template, but which can be overridden.

MSA is Active:   When checked, this Customer Master Service Agreement is active and can be used.


Current Revision (Automatically set):  The Current Revision level for this Customer Master Agreement, which is automatically incremented as changes are made.

Current Revision Date (Automatically set):  The Current Revision Date for this Customer Master Agreement, which is automatically updated as changes are made.

Contact for Approval:  Optional reference field to identify a valid Contact from the Customer Master that would be used in whatever Approval process used for this function. No Rootstock logic uses this field.

Customer Approval Status:  Optional reference Customer Approval Status. Picklist values can be user-defined by going to the object and setting up statuses that are meaningful to users.  No Rootstock logic is driven from this field - reference only.

Customer Approval Date:  Optional manually set date to indicate when this record was "approved" by Customer. No Rootstock logic uses this field - reference only.

Internal Approval Status:  Optional reference Internal Approval Status. Picklist values can be user-defined by going to the object and setting up statuses that are meaningful to users. No Rootstock logic is driven from this field - reference only.

Internal Approval Date:  Optional manually set date to indicate when this record was approved internally. No Rootstock logic uses this field - reference only.

Customer MSA Clauses
 
Clause Title:  User-defined alpha-numeric value up to 50 characters in length.

Clause Description:  User-define alpha-numeric optional description up to 100 characters in length.

Deleted:  When checked, indicates that this Clause has been flagged as deleted and cannot be used going forward.

Clause Content:  Required user-defined field, containing the textual content for this Clause.


Current Revision Date (Automatically set):  The date of the latest Revision.

Clause Content can be Edited:  When checked, allows the editing of this Clause Content.


Clause can be Deleted:  When checked, indicates that the Clause can be deleted.

Current Revision (Automatically set):  System-assigned Revision. Revision is initialized to 1 on an
add, and incremented as Customer MSA Clause records are modified.

Current Revision Date:  The Current Revision Date for this particular Master Services Agreement Clause, which is automatically updated as changes are made and the Revision level is incremented.
