Overview

The Master Services Agreements are used to define the obligations and requirements of each party to a contract. If these are more-or-less standards for similar products and services, a Master Service Agreement can be created that acts as a template when creating Customer MSA's. Utilizing the Master Service Agreement functionality ensures consistency of the contract terms across Customer MSA's and the Sales Contracts. Any changes to the Master Services Agreement terms can be managed via revisions.

Application

Once created, the Master Services Agreement is used as a template when creating Customer MSAs and ensures obligations and requirements (clauses) are consistent across all Customer MSA's created and is therefore visible to all users as a system record. Changes to the terms within the Master Service Agreement are managed via revisions and the revision recorded against the Customer MSA.

Processing

Once a new record is created and the header populated accordingly, new MSA Clauses are added via the New Template MSA Clause button. Upon completion of defining the MSA Clauses and saving the record, the MSA Agreement is visible as a template when creating Customer MSA's.

Fields

Master Services Agreement Header

 

Sales Division:  The Sales Division for which this Master Services Agreement is applicable.

Master Services Agreement:  User-defined Title for this Master Services Agreement. Value can be alpha-numeric, up to 50 characters in length.

MSA Description:  User-defined description for this Master Services Agreement. Value can be alpha-numeric, up to 255 characters in length.

MSA Responsible User:  The Mfg User record for the user responsible for this Master Services Agreement.

MSA is Active:  When checked, indicates that this Master Services Agreement is Active. An MSA must be active in order to be used to create a Customer MSA.

Current Revision:  System-assigned Revision. Current Revision is initialized to 1 on an add and incremented as MSA Clause records associated with this Master Services Agreement are modified.

Current Revision Date:  System-assigned Revision Date. Revision Date is initialized to TODAY on add and updated each time a Revision is made.


New Template MSA Clause
 

Sales Division:  The Sales Division for which this Master Services Agreement Clause applies.

Master Services Agreement:  The Master Services Agreement that this Clause is associated with.

MSA Sequence:  The sequence number drives the order in which MSA Clauses will be presented. The sequence can be auto-set or set when adding clauses. Once set, they can't be changed (without deleting & re-adding). Suggest sequences of 10, 20, 30, etc. so there is room to add additional clauses.

Clause Title:  User-defined alphanumeric value up to 50 characters in length.

Clause Description:  User-define alpha-numeric optional description up to 100 characters in length.

Current Revision (Automatically set):  System assigned Revision. Revision is initialized to 1 on add and incremented as MSA Clause records are modified.

Current Revision Date (Automatically set):  The date of the latest Revision.

Clause Content can be Edited:  When checked, allows the editing of this Clause Content when used on a Customer MSA.

Clause can be Deleted:  When checked, indicates that the Clause can be deleted (from a Customer MSA) when used on a Customer MSA.

Deleted:  When checked, indicates that this Clause has been flagged as deleted and cannot be used going forward.

Clause Content:  Required user-defined field, containing the textual content for this Clause.
